Terms of Service

These Terms of Service (“Terms”) govern your use of the GBIT Automation website (gbitautomation.com.au) and any services we provide to you. “We”, “us”, and “GBIT” refer to GBIT Automation (ABN 96 172 490 091), a business based in Perth, Western Australia. By using our website or engaging our services, you agree to these Terms.
1. Services
GBIT Automation provides business process automation, SEO, custom SharePoint applications, digital form development, Excel and spreadsheet solutions, and related consulting services. The scope, deliverables, timeline, and fees for any engagement are set out in a written Statement of Work (SoW) or quote agreed between the parties. These Terms apply to all engagements unless specifically varied in the SoW.
2. Quotes and engagement
Quotes are valid for 30 days from the date issued unless otherwise stated. A project commences when you accept the quote in writing (including by email) and, where applicable, pay the deposit set out in the SoW.
3. Fees and payment
- All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.
- Invoices are payable within 14 days of issue unless otherwise agreed.
- Projects typically require a deposit before work commences.
- Late payments may attract interest at the Reserve Bank of Australia cash rate plus 2% per annum.
- Out-of-pocket expenses (third-party software, licences) are billed at cost and agreed in advance.
4. Client responsibilities
You agree to:
- Provide timely access to systems, accounts, and information we reasonably need to deliver the services.
- Appoint a point of contact authorised to make project decisions.
- Review deliverables and provide feedback within the timeframes set out in the SoW.
- Ensure you have the right to share any data, credentials, or third-party content you provide to us.
5. Intellectual property
- Your content: You retain ownership of all data, content, and materials you provide to us. You grant us a licence to use them solely to deliver the services.
- Delivered work: On full payment of fees, ownership of the custom-built work product (automations, forms, SharePoint apps, spreadsheets) transfers to you.
- Our tools and methods: We retain ownership of any pre-existing tools, templates, libraries, or methodologies we use to deliver the services, along with any improvements we make to them.
- Third-party components: Where the solution uses third-party platforms (Microsoft 365, Power Automate, Make.com, Zapier, etc.), their licence terms apply and those components are not transferred to you.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of an engagement and to use it only for the purposes of delivering or receiving the services.
7. Warranties and disclaimers
We will perform services with reasonable skill and care. Except as expressly set out in these Terms or an SoW, we make no other warranties, whether express, implied, statutory, or otherwise, to the extent permitted by law. Third-party platforms used in a solution are provided subject to their own terms; we do not warrant their uptime or performance.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law.
8. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with an engagement is limited to the fees paid by you for the specific services to which the claim relates in the 12 months preceding the claim. We are not liable for indirect, consequential, or special loss (including loss of profits, business, or data) however arising.
9. Termination
Either party may terminate an engagement on 14 days' written notice, or immediately if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice. On termination, you will pay for all services performed up to the termination date.
10. Governing law
These Terms are governed by the laws of Western Australia, Australia. Any dispute arising from these Terms or an engagement is subject to the exclusive jurisdiction of the courts of Western Australia.
11. Website use
Content on this website is provided for general information purposes. It does not constitute professional advice. You use the website at your own risk and we are not liable for any loss or damage arising from reliance on website content.
12. Changes to these Terms
We may update these Terms from time to time. Changes will be posted on this page with the revised “last updated” date above. For existing engagements, the Terms in force at the date of the SoW will apply.
